Bylaws of the
BRIARWOOD NEIGHBORHOOD ASSOCIATION
ARTICLE I
Name and Office
Section I. The name of this organization shall be the Briarwood
Neighborhood Association and the complete title or its
abbreviation “B.N.A.” shall be used in all transaction
of official business.
ARTICLE II
Purpose
Section I. B.N.A. shall serve as an organization of residents
who have a common interest in the development of the neighborhood which it seeks to serve. The aims of the
B.N.A.are to promote and facilitate the quality of life in
and around the neighborhood. It shall consider all and
every issue that touches the lives of the residents and
their families.
ARTICLE III
Membership
Section I. Membership shall be extended to all homeowners and
Lessees of single family housing in the area bounded
by the streets of Weathervane, Shiloh, Ferguson and
Featherbrook.
Section II. Nondiscrimination: Membership in the B.N.A. shall be
open to all persons without regard to race, color,
religion, gender, age, national origin, disability, veteran
status, or sexual orientation.
Section III. Dues: Membership dues are to be determined by the
members of the B.N.A. and shall be assessed in
January of each year.
Section IV. Right of Members:
1. All members shall possess full voting rights and
all other rights entitled to members in the B.N.A.
Each member whose dues are paid shall be entitled
to one (1) vote per household on each matter
submitted to a vote of the membership.
ARTICLE IV.
Meetings of Members
Section I. Annual Meeting: The annual meeting of the members
shall be held the first Tuesday in the month of
November for the purpose of electing officers and for
the transaction of such other business as may come
before the meeting.
Section II. Special Meetings: Special meetings of the members
may be called by the president, by three of the four
officers, or by not less than one-tenth (1/10) of the
members having voting rights.
Section III. Regular Meetings: The membership shall have a
quarterly Meeting on the first Tuesday of the months
of February, May, August, and November for the
purpose of transacting business.
Section IV. Notice of Meetings: The members shall be informed
of the Annual meeting and the quarterly meeting by
written notice to be given at least five (5) days before
the date of such meeting. In the case of a special
meeting, three (3) days written notice or a telephone
call for such meeting shall be given.
ARTICLE V.
Officers
Section I. The officers of the B.N.A. shall be elected from the regular members of the organization whose dues are paid.
Section II. The board of officers of the B.N.A. will the president,
vice president, secretary and treasurer.
Section III. Duties of Officers:
1. President: The president shall have such duties and
powers as are usually exercised by such an officer.
He/she shall have the power to appoint all special
committees, to designate the chair thereof and to fill
vacancies therein, with the advice and consent of
the vice president, secretary, and treasurer.
2. Vice President: In the absence of the president, the
vice president shall have the powers and duties of
the president. The primary duty of the vice
president shall be to coordinate the efforts of all
standing committees.
3. Secretary: The secretary shall keep all minutes of the
B.N.A., keep a list of members, issue all notices,
including the newsletter, and assure that each
meeting, general or special, is conducted in accordance with the parliamentary procedure as contained in Robert’s Rules of Order.
4. The treasurer shall keep a list of all current
members, be responsible for all financial records of the organization,
for reporting to authorities as to contributions and expenditures, and shall present a financial report to the membership at each meeting.
Section IV. Election and Term of Office:
1. Each officer of the B.N.A. shall be elected and serve
a term of two (2) years by those members whose dues
are paid at the annual meeting of the B.N.A. in November. Each member (household) shall have one (1) vote for each office. If the election of officers shall not be held at such meeting, such election shall be held as soon thereafter as possible. New offices may be created and filled at any
meeting of the B.N.A. members.
2. In order to maintain leadership and continuity of the B.N.A.
Board, the election year for the positions of president and
treasurer will be different from the year for positions of vice
president and secretary. The position of president and treasurer
shall be elected to serve in odd numbered years, and the
positions of vice president and secretary will be elected to
serve in even numbered years.
4. One month prior to the annual meeting each year, the treasurer
shall furnish a list of all members whose dues are paid as of
that date. Such a list will be used to determine members
eligible to vote for officers and those eligible to hold office.
5. The officers shall be elected by majority vote from a show
of hands by nominations from the floor at the annual meeting
or in writing if such written nomination is received prior to
the close of nominations at the annual meeting. Nominations
shall close upon motion made, seconded and approved by a
majority vote.
Section V . Vacancy & Resignation of Officers
1. If any officer misses (2) or more consecutive board meetings which have been officially convened or fails to pay association dues, the remaining officers may declare that position vacant, by majority vote. The remaining officers may then choose a successor by election among them to serve out the unexpired term of any officer whose position is vacated hereunder.
2. Any officer of the board may choose to resign at any time, giving notification to the remaining officers. In the event of a resignation or death of an officer, the remaining officers may then choose a successor by election among them to serve out the unexpired term of any officer whose position is vacated hereunder.
Section VI. Compensation & Gifts
1. No officer, committee chair, or member of the association shall receive any salary, compensation, or gift of any kind using association funds.
ARTICLE VI.
Standing Committees
Section I. The Standing Committees shall be:
1. Public Safety (Volunteers in Patrol, Crime Watch,
& CHiPS)
2. Beautification
3. Code Compliance
4. Social and Membership
Section II. The chairperson of each standing committee shall be
appointed by the president.
ARTICLE VII
Books and Records
Section I. The organization shall keep correct and complete
books And records of account and shall keep
minutes of the proceedings of its members, Board
of Directors, and committees having any of the
authority of the Board of Directors, and shall keep
at the treasurer’s office, a record giving the names
and addresses of members entitled to vote. All
books and records of the organization may be
inspected by any member, or his/her agent or
attorney for any proper purpose at any reasonable
time.
Section II. On all financial transactions by the board, signatures of
both the president and the treasurer are required.
Additionally, it is the responsibility of both the president
and the treasurer to notify the financial institution
holding B.N.A. funds of any changes in these elected
positions so a new signature card may be completed.
ARTICLE VIII
Amendments to Bylaws
Section I. These Bylaws may be altered, amended or repealed
and new Bylaws may be adopted by a two-thirds (2/3)
vote of the members present at the annual or quarterly
meeting, if written notice is given of intention to alter,
amend or repeal or to adopt new Bylaws at such
meeting at least (5) five days prior to the meeting.
